Please read these Terms of Use (the "Terms" or the "Agreement") carefully before using ValidEmailChecker. These Terms constitute a legally binding agreement between you and ValidEmailChecker ("ValidEmailChecker," "we," "us," or "our") governing your use of our website at validemailchecker.com, our application at app.validemailchecker.com, our API, and all associated features, tools, and services (collectively, the "Services").

By creating an account, accessing, or using the Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Refund Policy, Cookie Policy, and Anti-Spam Policy, each of which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, you must not use the Services.

1. Eligibility and Account Registration

1.1 Age Requirement

You must be at least 18 years of age to create an account or use the Services. By registering, you represent and warrant that you are at least 18 years old. If we become aware that a user is under 18, we will immediately terminate their account and delete all associated data.

1.2 Account Creation

To access the Services, you must create an account by providing your first name, last name, email address, and a password. You may also register using Google OAuth. You represent and warrant that all information you provide during registration and at any time thereafter is accurate, complete, and current. Providing false, misleading, or outdated information may result in the immediate suspension or termination of your account.

1.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any API keys you generate. You agree to accept full responsibility for all activities that occur under your account, whether or not you authorized them. You must notify us immediately at support@validemailchecker.com if you become aware of any unauthorized use of your account, any security breach, or if your credentials have been compromised. We strongly recommend enabling two-factor authentication (2FA) to add an additional layer of security to your account. You may not sell, transfer, assign, or share your account or account credentials with any other person or entity.

1.4 Team Members

If you are an account owner and you add team members to your account, you are fully responsible for all actions taken by those team members through the Services. Team members operate under your account, use your shared credit balance, and are bound by these Terms. It is your responsibility to ensure that your team members understand and comply with these Terms, our Anti-Spam Policy, and all applicable laws. Any violation by a team member will be treated as a violation by the account owner.

2. Description of Services

ValidEmailChecker is an email verification and list cleaning service. We provide tools that allow you to verify the deliverability of email addresses through individual verification, bulk file uploads, direct API integration, and third-party platform integrations. Our verification process performs a series of technical checks including DNS and MX record validation, disposable email detection, catch-all domain detection, role-based address identification, spam trap detection, inbox status verification, and deliverability scoring. The results of these checks are provided to you as verification data that you may use to improve the quality of your email lists and the deliverability of your email campaigns.

We reserve the right to modify, update, enhance, or discontinue any aspect of the Services at any time, with or without notice. While we will make reasonable efforts to notify you of material changes, we are not obligated to maintain any particular feature or functionality.

3. Acceptable Use

3.1 Permitted Use

The Services are provided for legitimate business purposes, including but not limited to email marketing list hygiene, sales and business development contact validation, customer relationship management data cleaning, and developer integration for email input validation. You may use the Services for any lawful business purpose that is consistent with these Terms and our Anti-Spam Policy.

3.2 Prohibited Conduct

By using the Services, you agree that you will not engage in any of the following activities:

Illegal or harmful use: You may not use the Services in any way that violates applicable local, provincial, national, or international laws or regulations, including but not limited to Canada's Anti-Spam Legislation (CASL), the United States CAN-SPAM Act, the European Union General Data Protection Regulation (GDPR), and any other laws governing electronic communications, data protection, or privacy. You may not use the Services to facilitate, promote, or support any illegal activity, including fraud, identity theft, harassment, or the distribution of malware.

Unauthorized email verification: You may not use the Services to verify email addresses that you have obtained unlawfully, that you do not have permission to process, or that you acquired through scraping, harvesting, purchasing from unauthorized sources, or any other means that violates the rights of the individuals to whom those email addresses belong. You are solely responsible for ensuring that you have a lawful basis — such as consent or a legitimate business relationship — to verify every email address you submit.

Spamming and unsolicited communications: You may not use the verification results to send unsolicited commercial email (spam), unsolicited bulk messages, or any communications that violate applicable anti-spam laws. Cleaning an email list through our service does not grant you permission to email the addresses on that list — you must independently hold valid consent or authorization. Reselling or redistribution: You may not resell, sublicense, redistribute, or make the Services or verification results available to third parties as a standalone product or as part of a competing email verification service. You may not use the Services to build, supplement, or enhance a database of email addresses or contact information for sale or distribution to others.

Reverse engineering and interference: You may not decompile, disassemble, reverse engineer, or attempt to discover or reconstruct the source code, algorithms, data structures, or underlying technology of the Services. You may not interfere with, disrupt, or attempt to compromise the operation, security, or availability of the Services or any infrastructure, systems, or networks connected to the Services. You may not use automated tools, scripts, bots, crawlers, or scrapers to access the Services except through our official API in accordance with these Terms.

Circumventing security or limits: You may not attempt to bypass, disable, or circumvent any security measures, access controls, rate limits, or usage restrictions implemented by the Services. This includes, but is not limited to, creating multiple accounts to exploit free credit allocations, rotating IP addresses to evade rate limiting or IP blocking, using stolen or fraudulent payment methods, or impersonating another user or entity.

Abusing free credits: Upon account creation, each user receives a one-time allocation of 200 free verification credits intended for evaluation purposes. Creating multiple accounts to receive additional free credits constitutes fraud and will result in the immediate termination of all associated accounts.

4. Credits, Payments, and Billing

4.1 Credit System

ValidEmailChecker operates on a credit-based system. One credit entitles you to verify one email address. Credits are available through two purchasing models: Pay-As-You-Go (PAYG) one-time purchases and monthly subscription plans.

Your account may hold three types of credits, each with different characteristics. Pay-As-You-Go credits are purchased individually and never expire. They remain in your account until used, regardless of how much time passes. Monthly subscription credits are allocated at the beginning of each billing period as part of your subscription plan. These credits expire at the end of the billing period in which they were allocated. Rollover credits are unused monthly subscription credits that are automatically carried forward to the next billing period as a courtesy. Rollover credits expire exactly 30 days after they are created.

When credits are consumed — whether through single verification, bulk verification, or API usage — they are deducted in the following priority order: monthly subscription credits are used first, then rollover credits, and finally Pay-As-You-Go credits. This order is designed to maximize the value of your non-expiring PAYG credits by preserving them for last.

4.2 Credit Refunds for Unknown Results

If our verification system is unable to determine the deliverability of an email address — for example, because the destination mail server was temporarily unavailable, anti-spam systems blocked the verification attempt, or a timeout occurred — the result is classified as "unknown." Credits consumed for unknown results are automatically refunded to your account. You are never charged for verifications that could not be completed. We recommend retrying unknown results at a later time for a definitive answer.

4.3 Purchases and Payment Processing

All credit purchases and subscription payments are processed by our third-party payment processors, currently Stripe (for credit and debit card payments) and CoinPayments (for cryptocurrency payments). By submitting payment information, you authorize the applicable payment processor to charge your selected payment method for the amount of your purchase. You represent and warrant that you are authorized to use the payment method you provide and that all payment information is accurate and complete. All prices are displayed and charged in United States Dollars (USD) unless otherwise specified.

4.4 Auto-Refill

ValidEmailChecker offers an optional Auto-Refill feature that automatically purchases a predetermined credit package when your credit balance falls to or below a threshold you configure. Auto-Refill is entirely opt-in and requires your explicit activation through your account settings. You may configure the credit package to purchase, the balance threshold that triggers a refill, and a monthly limit on the number of automatic refills. You may disable Auto-Refill at any time. Credits purchased through Auto-Refill are subject to the same terms as standard PAYG purchases, except that Auto-Refill purchases are non-refundable as described in our Refund Policy.

4.5 Subscriptions

Monthly subscription plans renew automatically at the beginning of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your remaining monthly and rollover credits until the end of the current billing period. No further charges will be made after cancellation. Subscription pricing is subject to change, but any price increase will not take effect until your next renewal cycle, and we will provide advance notice of such changes.

4.6 Refunds

Our monetary refund policy is detailed in full on our Refund Policy page. In summary, we offer a 48-hour satisfaction guarantee with full refunds for purchases where less than 5% of credits have been used, and a 14-day pro-rated refund for purchases where less than 20% of credits have been used. After 14 days or once more than 20% of credits have been consumed, monetary refunds are generally not available. Auto-Refill purchases, rollover credits, and bulk orders exceeding 100,000 credits are subject to modified refund terms as detailed in the Refund Policy. Before initiating a chargeback with your financial institution, we strongly encourage you to contact us directly at support@validemailchecker.com — most issues can be resolved quickly through direct communication.

5. API Usage

5.1 API Access

ValidEmailChecker provides a public REST API that allows you to integrate email verification directly into your applications, workflows, and systems. API access is available to all account holders through API keys generated in your dashboard. You are responsible for the security of your API keys and must not share them publicly, embed them in client-side code, or expose them in code repositories. We recommend using environment variables or secure secrets management to store API keys.

5.2 Rate Limits

To ensure fair usage, consistent performance, and system stability for all users, the API enforces rate limits. The current limits are 60 requests per minute for the single verification and bulk verification endpoints, and 120 requests per minute for the results retrieval endpoint. A daily limit of 10,000 requests applies across all endpoints. These limits apply to the number of API requests, not the number of emails verified — a single bulk verification request containing 1,000 emails counts as one request. Rate limit information is included in the response headers of every API call, and we strongly recommend monitoring these headers to manage your request flow proactively.

If you exceed the rate limits, you will receive a 429 (Too Many Requests) response with a Retry-After header indicating how long to wait before retrying. Repeatedly exceeding rate limits or attempting to circumvent them may trigger additional protective measures, including temporary or permanent IP blocking. 5.3 API Restrictions

You may not use the API to build a competing email verification service or product. You may not resell or redistribute API access or verification results to third parties. You may not use the API to systematically harvest, scrape, or collect email verification data for purposes unrelated to your own legitimate business use. All API usage must comply with these Terms, our Anti-Spam Policy, and all applicable laws.

6. Data Ownership and Usage

6.1 Your Data

You retain full ownership of all data you upload to, submit through, or generate using the Services, including your email lists, verification results, and any other content you provide ("Your Data"). We do not claim any ownership rights over Your Data. We do not sell, share, license, or distribute Your Data to any third party for any purpose. We do not use Your Data to build, enhance, or supplement any database or dataset. We do not analyze, profile, or mine the email addresses you verify for any purpose beyond performing the specific verification you requested.

6.2 Limited License to Provide Services

By uploading data to or using the Services, you grant ValidEmailChecker a limited, non-exclusive, revocable license to access and process Your Data solely for the purpose of providing the Services to you. This includes transmitting email addresses to our verification infrastructure to perform the technical checks necessary to return verification results, storing Your Data temporarily on our servers for the duration of processing and for the 15-day retention period described in our Privacy Policy, and generating aggregate, anonymized statistics (such as total verification volume) that contain no personally identifiable information. This license terminates automatically when Your Data is deleted, either by you or through our automated 15-day cleanup process.

6.3 Data Retention

Email lists and verification results are automatically and permanently deleted from our systems 15 days after the verification task is completed. You may delete your data at any time before this automatic deletion occurs. After deletion, only aggregate, non-identifiable metadata is retained (such as the number of credits used and the date of the task). 6.4 Your Responsibilities Regarding Data

You represent and warrant that you have all necessary rights, authority, and legal basis to upload, submit, and process all data you provide to the Services, including the email addresses of third parties. You are solely responsible for ensuring compliance with all applicable data protection and privacy laws in your jurisdiction. You are responsible for making any required disclosures to, and obtaining any required consents from, the individuals whose email addresses you submit for verification. ValidEmailChecker is not responsible for the legality, accuracy, or appropriateness of the data you provide.

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all software, code, algorithms, user interface designs, graphics, trademarks, logos, documentation, and any other content or materials provided by ValidEmailChecker, are and shall remain the exclusive property of ValidEmailChecker and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Services as expressly permitted by these Terms.

7.2 Restrictions

You may not copy, modify, reproduce, distribute, display, perform, create derivative works from, or commercially exploit any part of the Services or our intellectual property without our prior written consent. You may not use our trademarks, logos, or brand name in any manner without our prior written permission, except to accurately identify ValidEmailChecker as your email verification provider in the ordinary course of business.

8. Third-Party Integrations

The Services may allow you to connect third-party applications and platforms, such as email marketing services, CRMs, and ESPs, for the purpose of importing email lists for verification. By connecting a third-party application, you authorize ValidEmailChecker to access the email list data from that platform solely for the purpose of performing the verification you requested. We do not access any data from your connected platforms beyond what is necessary to import the email lists you select for verification. We do not use data from your integrations for our own purposes, and we do not retain data from your connected platforms beyond the standard 15-day retention period.

ValidEmailChecker is not responsible for the availability, accuracy, security, or functionality of any third-party application. Your use of third-party applications is governed by their own terms of service and privacy policies. You represent and warrant that you have the right and authorization to connect your third-party accounts and to share the data from those platforms with ValidEmailChecker for verification purposes.

9. Service Availability and Disclaimers

9.1 Service Availability

We strive to maintain high availability and performance of the Services, but we do not guarantee that the Services will be available at all times or without interruption. The Services may be temporarily unavailable due to scheduled maintenance, system upgrades, infrastructure changes, or circumstances beyond our reasonable control (including but not limited to natural disasters, internet outages, power failures, cyberattacks, and actions by third-party service providers). We will make reasonable efforts to provide advance notice of planned maintenance that may cause significant downtime.

9.2 Accuracy Disclaimer

While we strive to provide the most accurate email verification results possible, email deliverability is inherently dynamic and subject to factors beyond our control. Email addresses may become invalid after verification, mail servers may change their configuration, and recipient behavior may change at any time. We do not guarantee that every email address verified as "safe" or "deliverable" will successfully receive email, nor do we guarantee that every email flagged as "invalid" is permanently unreachable. Verification results represent our best assessment at the time of verification based on the information available to our systems.

9.3 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALIDEMAILCHECKER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OBTAINED FROM THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE ACCURATE IN ALL CASES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VALIDEMAILCHECKER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR IN CONNECTION WITH THE SERVICES; (C) ANY VERIFICATION RESULTS OR OTHER DATA OBTAINED FROM THE SERVICES; (D) UNAUTHORIZED ACCESS TO, USE OF, OR ALTERATION OF YOUR DATA, TRANSMISSIONS, OR CONTENT; OR (E) ANY OTHER MATTER RELATING TO THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO VALIDEMAILCHECKER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless ValidEmailChecker, its officers, directors, employees, agents, affiliates, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees and legal costs) arising from or relating to: (a) your use of and access to the Services; (b) your violation of any provision of these Terms; (c) your violation of any applicable law, regulation, or third-party right, including any privacy right, intellectual property right, or anti-spam law; (d) any data you upload to or submit through the Services; (e) any communications you send to individuals whose email addresses were verified using the Services; or (f) any actions taken by team members under your account. This indemnification obligation shall survive the termination of your account and these Terms.

12. Account Suspension and Termination

12.1 Termination by You

You may close your account at any time by using the account deletion feature in your dashboard or by contacting us at support@validemailchecker.com. Upon account deletion, all of your data will be permanently and irreversibly removed as described in our Privacy Policy. Any unused credits remaining in your account at the time of deletion are forfeited and are not refundable.

12.2 Suspension and Termination by ValidEmailChecker

We reserve the right to suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, with or without notice. Specific circumstances that may result in suspension or termination include, but are not limited to: violation of these Terms or any of our policies (including the Anti-Spam Policy); engaging in fraudulent, abusive, or illegal activity; creating multiple accounts to exploit free credit allocations; using stolen or unauthorized payment methods; submitting email lists that contain a high proportion of spam traps, which may indicate the use of purchased or scraped lists; excessive or abusive use of the Services that degrades performance for other users; failure to pay outstanding charges; and any conduct that we reasonably determine may expose ValidEmailChecker to legal liability or reputational harm.

Where practicable and where we are not legally prohibited from doing so, we will attempt to notify you of the reason for suspension or termination and provide an opportunity to address the issue. However, we are not obligated to do so, and in cases of severe or obvious violations, we may act immediately without prior notice.

12.3 Effect of Termination

Upon termination of your account for any reason, your right to access and use the Services ceases immediately. Any unused credits in your account are forfeited. Sections of these Terms that by their nature should survive termination — including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions — shall survive termination.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts of competent jurisdiction located in the Province of Ontario, Canada, and you irrevocably consent to the jurisdiction of such courts.

13.2 Informal Resolution

Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute with us informally by contacting us at support@validemailchecker.com with a written description of your concern. We will attempt to resolve the dispute through good-faith negotiation within 30 days. If we are unable to reach a resolution within that period, either party may pursue formal legal remedies as described above.

14. Changes to These Terms

We may modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. If we make material changes that significantly affect your rights or obligations, we will make reasonable efforts to provide advance notice — for example, by posting a prominent notice on our website or sending you an email notification. Material changes will become effective after we have provided such notice, and your continued use of the Services after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Services and may close your account. For non-material changes (such as typographical corrections or clarifications that do not alter the substance of any provision), changes take effect immediately upon posting.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, Cookie Policy, Anti-Spam Policy, and GDPR Compliance page, constitute the entire agreement between you and ValidEmailChecker with respect to your use of the Services, and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions.

Waiver: Our failure to enforce any right or provision of these Terms at any time shall not constitute a waiver of that right or provision. A waiver of any term or condition set forth in these Terms shall not be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction and without notice to you, including in connection with a merger, acquisition, reorganization, or sale of assets.

No Third-Party Beneficiaries: These Terms do not create any rights for any person or entity that is not a party to this Agreement. No third party may enforce any provision of these Terms.

Force Majeure: ValidEmailChecker shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, cyberattacks, pandemics, or actions by third-party service providers.

Relationship of the Parties: Nothing in these Terms shall be construed to create a joint venture, partnership, employment, fiduciary, or agency relationship between you and ValidEmailChecker.

Marketing: By creating an account, you authorize us to identify you or your company as a ValidEmailChecker customer in our marketing materials, unless you opt out of this by notifying us in writing at support@validemailchecker.com.
